Business Formation/Operation

When helping a client establish a business, we begin by evaluating your resources and goals. With the recent changes in California law giving the business person more options, VS&B will help you determine whether a "Sub-S," "C" or non-profit corporation, an LLC, LLP, limited or general partnership best fits your situation. 

It is also essential to have well-drafted, written agreements between business principals drawn at the outset of a business relationship. Many people make the mistake of thinking that asking everyone to enter a written agreement will result in a non-deal. In our experience, this is penny-wise and pound-foolish. Partners who can’t agree up front when everyone is enthusiastic will find out the hard way that the lack of a clear agreement will most likely result in costly and emotionally debilitating litigation later on.

Unfortunately, we have on many occasions been called upon to litigate between from buyer and seller of both goods and entire businesses where it could have been avoided if there had been proper documentation of the promises made during negotiations. Business Reorganization/Bankruptcy

VS&B has the experience required if you find your business on either side of a probable or existing bankruptcy. In the past several years, we’ve represented a regional airline and a major furniture chain through reorganization, along with every type of business in between. While few bankruptcy attorneys will admit the chances of successful reorganization in Bankruptcy Court are negligible, we’ve helped several clients turn around their businesses without filing for bankruptcy protection.
